Nurse of Record Agreement
Version 1.0 — Effective September 25, 2026
This Agreement is between Nurse Registry Consultant, LLC, a Florida limited liability company ("Consultant"), and the nurse registry identified at checkout or below ("Registry"). Services are performed on Consultant's behalf by Scott Strachan, RN, BSN. It is effective on the date Registry accepts it at checkout or signs below.
1. Purpose
Consultant will serve as an RN available for referral by Registry for licensure purposes and will provide the included services described below. This Agreement does not create a home health agency relationship, a clinical or nursing supervisory relationship, an employment relationship, or an ongoing nurse-patient relationship.
2. Nurse of Record Listing
Registry may list Consultant as an RN available for referral in its licensure application and records while this Agreement is in effect. Before listing Consultant, Registry will complete Consultant's registration file as it would for any referred independent contractor, including license verification and any required background screening.
3. Included LTCI Services
The monthly fee includes up to two (2) matters per calendar month related to long-term care insurance or other payers that can be completed by phone, such as insurer calls or documentation of information as reported by the client. Unused matters do not roll over. Additional matters are billed separately at Consultant's then-current rate. General consulting and advisory services are not included and are available through Consultant's Hourly Review & Advisory service. Routine communications take place during normal business hours. Consultant is not required to provide immediate responses, emergency availability, or after-hours support.
4. No Nursing Assessments
Documentation Consultant completes by phone for long-term care insurers or other payers reflects information as reported by the Registry's client (the patient, family, or representative). It is not a nursing assessment, evaluation, or clinical determination, and it will be identified as client-reported. Formal nursing evaluations and assessments are not included in the monthly fee and are available only as described in Section 5.
5. Visits, Formal Nursing Evaluations, and In-Person Services Not Included
Home visits, formal nursing evaluations and assessments, and other direct RN services requested by a Registry client, including those required by long-term care insurers or other payers, are not included in the monthly fee. They are separately negotiated and paid on a case-by-case basis. Consultant may accept or decline any request based on availability, location, and scope. Any accepted request is arranged as an independent-contractor engagement at a separately agreed rate. No nursing supervision of caregivers is provided as part of any visit or evaluation.
6. Registry Responsibilities
Registry remains solely responsible for:
Maintaining the availability of RN services required by law, including identifying and registering other qualified RNs when Consultant is unavailable or declines a request;
All referral decisions, client relationships, and communications;
Its policies, procedures, documentation, and records;
Its caregiver relationships, consistent with the independent-contractor referral model; and
Compliance with all applicable federal, state, and local laws and regulations.
7. No Nursing Supervision or Operational Control
No nursing supervision is provided under this Agreement. Consultant does not provide clinical or nursing supervision of caregivers, management of patient care, direction or control of independent contractors, home health agency services, or nursing management services, and does not serve as Registry's Director of Nursing, Administrator, or Alternate Administrator. Consultant has no authority to bind, represent, direct, hire, terminate, discipline, schedule, or act on behalf of Registry.
8. Fee and Payment
The fee is $250 per month, billed automatically through Stripe in advance on the same date each month. Charges will appear as NURSE REGISTRY ADVISOR. If payment fails, Consultant may suspend services until payment is resolved and may terminate this Agreement under Section 9.
9. Term and Cancellation
This Agreement continues month to month until canceled.
Either party may cancel with thirty (30) days' written notice to the other. Charges falling within the notice period are owed.
Consultant may terminate immediately for nonpayment, or if Consultant believes Registry's operations create unreasonable legal, ethical, licensure, insurance, or regulatory risk.
Upon termination, Registry will promptly stop listing Consultant as an available RN, update its records, and make any required notifications to AHCA. Registry is responsible for securing a replacement RN.
10. Refunds
Monthly fees are non-refundable, including partial months and unused included LTCI matters.
11. Billing Questions and Disputes
Registry agrees to contact Consultant at [email protected] about any billing concern before disputing a charge with its bank or card issuer. Consultant will respond within two business days. If a payment is disputed or reversed, Consultant may suspend services while the dispute is pending and will provide records of acceptance and service to the payment processor.
12. No Legal Advice; No Guarantee
Consultant provides general guidance based on professional experience in the Florida nurse registry industry. Consultant is not Registry's attorney, accountant, or regulatory representative, and does not guarantee licensure approval, survey outcomes, regulatory compliance results, or business success. Registry relies on its own independent judgment for all business, operational, regulatory, and compliance decisions.
13. Indemnification
Registry will defend, indemnify, and hold harmless Consultant from claims, liabilities, damages, penalties, losses, costs, and attorney's fees arising from Registry's operations, caregiver conduct, client care issues, regulatory actions, or business decisions, except in cases of Consultant's gross negligence or intentional misconduct.
14. Insurance
Registry will maintain commercially reasonable general liability and professional liability insurance during the term of this Agreement.
15. Limitation of Liability
To the fullest extent permitted by law, Consultant's total liability arising from this Agreement will not exceed the fees paid by Registry during the six (6) months before the event giving rise to the claim. Consultant is not liable for indirect, incidental, consequential, regulatory, business, or financial damages.
16. Confidentiality
Each party will keep the other's proprietary business information confidential except where disclosure is required by law. Protected health information will be shared only as needed and through an appropriate secure method.
17. Independent Contractor
Consultant is an independent contractor. This Agreement does not create a partnership, joint venture, employment, agency, or fiduciary relationship.
18. Business Purpose; Electronic Acceptance
Registry is purchasing these services for business purposes. Registry may accept this Agreement electronically by checking the agreement box and completing payment, or by signing. Electronic acceptance has the same effect as a handwritten signature, and Consultant keeps a record of the date, time, IP address, and agreement version.
19. Governing Law; Attorney's Fees; Entire Agreement
This Agreement is governed by Florida law, with exclusive venue in Lee County, Florida. The prevailing party in any dispute may recover reasonable attorney's fees and costs. This Agreement incorporates the Terms of Service at nurseregistryconsultant.com/terms-of-service/; if they conflict, this Agreement controls. This is the entire agreement between the parties. Changes must be in writing. If any provision is unenforceable, the rest remains in effect.
