Hourly Review & Advisory Agreement
Version 1.1 — Effective September 26, 2026
This Agreement is between Nurse Registry Consultant, LLC, a Florida limited liability company ("Consultant"), and the client identified at checkout or below ("Client"). Services are performed on Consultant's behalf by Scott Strachan, RN, BSN. It is effective on the date Client accepts it at checkout or signs below.
1. Nature and Scope of Services
Consultant provides educational, strategic, regulatory, and operational guidance about nurse registry businesses. This may include scheduled consultations, discussion of AHCA requirements, operational coaching, answers to substantive questions, and review of documents Client provides. Hourly advisory covers Consultant's time only. Templates, policies, manuals, forms, emergency-management materials, portal access, AI assistants, and other package materials are not included unless purchased separately. Consultant decides the reasonable method and extent of review needed to respond to Client's request. Consultant does not prepare, submit, revise, or certify applications or regulatory filings on Client's behalf.
2. Fees and Prepayment
The rate is $350 per hour, paid in advance through Stripe in one-hour increments. The charge will appear as NURSE REGISTRY ADVISOR. Billable time includes scheduled calls or meetings, substantive email correspondence, document review, research on Client's matter, and preparation of written guidance. Brief communications about scheduling or payment are not billable.
3. Additional Time
If a matter is expected to exceed the prepaid time, Consultant will notify Client. Additional time is billed in one-hour increments and is due before further work is performed.
4. Scheduling and Use of Prepaid Time
Prepaid time is scheduled through Consultant's online scheduling system.
Prepaid hours must be used within twelve (12) months of purchase. Unused time expires without refund.
Client may reschedule with at least 48 hours' notice. A session missed, or canceled with less than 48 hours' notice, counts as used.
Prepaid time does not create an ongoing retainer and does not include follow-up work or future services unless Consultant agrees in writing.
5. Delivery
Services are delivered when the scheduled session is held or forfeited under Section 4, or when requested review or written guidance is provided. Consultant keeps records of sessions and communications and may use them to confirm delivery.
6. Refunds
Fees are non-refundable once a scheduled consultation or requested work has begun. A refund or rescheduling request made before services begin is subject to Consultant's written approval, less payment processing fees.
7. Billing Questions and Disputes
Client agrees to contact Consultant at [email protected] about any billing concern before disputing a charge with its bank or card issuer. Consultant will respond within two business days. If a payment is disputed or reversed, Consultant may suspend services while the dispute is pending and will provide records of acceptance and service to the payment processor.
8. No Legal, Tax, or Accounting Advice; No Guarantee
Consultant is not Client's attorney, CPA, financial advisor, regulatory representative, or fiduciary. Client should have legal documents, financial representations, licensure submissions, and regulatory responses reviewed by appropriately licensed professionals. Consultant does not guarantee licensure approval, regulatory acceptance, AHCA survey results, avoidance of deficiencies, any agency determination, or business success.
9. Client Responsibility
Client is solely responsible for the accuracy and completeness of information provided to Consultant, all business decisions, submission of applications and disclosures, implementation of recommendations, maintenance of records, and ongoing compliance.
10. Intellectual Property
Any materials Consultant provides remain the exclusive intellectual property of Nurse Registry Consultant, LLC. Client receives a limited, non-exclusive, non-transferable license to use them solely for the internal operation of Client's own business, and may not share, distribute, resell, repackage, or use them to consult for others without written permission.
11. Confidentiality
Consultant will keep Client's proprietary business information confidential except where disclosure is authorized by Client or required by law. Client should not send protected health information or other sensitive personal information unless Consultant requests it through a secure method.
12. Limitation of Liability
To the fullest extent permitted by law, Consultant's total liability for a service will not exceed the amount Client paid for that service. Consultant is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, regulatory penalties, business interruption, or reputational harm.
13. Independent Contractor
Consultant is an independent contractor. This Agreement does not create a partnership, joint venture, employment, agency, or fiduciary relationship.
14. Business Purpose; Electronic Acceptance
Client is purchasing these services for business purposes. Client may accept this Agreement electronically by checking the agreement box and completing payment, or by signing. Electronic acceptance has the same effect as a handwritten signature, and Consultant keeps a record of acceptance.
15. Governing Law; Entire Agreement
This Agreement is governed by Florida law, with exclusive venue in Lee County, Florida. It incorporates the Terms of Service at nurseregistryconsultant.com/terms-of-service/; if they conflict, this Agreement controls. This is the entire agreement concerning hourly advisory services. Changes must be in writing. If any provision is unenforceable, the rest remains in effect.
